1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Navidiumsoft, a company registered in Singapore and Malaysia, governing your access to and use of our website, applications, and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Our Services

Navidiumsoft provides the following services:

• AI Shopify Apps: Software applications that integrate with Shopify stores
• Custom Shopify Development: Tailored development services for Shopify merchants
• Buy Ads Credit Service: A managed advertising service where we purchase and manage digital advertising on Google and Meta platforms on your behalf

3. Buy Ads Credit Service Terms

This section specifically governs our Buy Ads Credit service for Google Ads and Meta (Facebook/Instagram) advertising.

3.1 Service Description

Our Buy Ads Credit service allows you to purchase advertising credit that we will spend on your behalf on Google Ads and/or Meta Ads platforms. We act as your advertising manager, setting up, optimizing, and managing your campaigns.

• All payments must be made in advance before we begin spending on advertising
• Payments are made to Navidiumsoft's designated bank account
• The minimum ad credit purchase may apply and will be displayed at the time of purchase
• All fees are non-refundable once ad spend has commenced

3.4 Ad Spend Management

• We will spend your ad credit on the platforms you specify (Google and/or Meta)
• Campaign strategy and optimization decisions are made at our discretion unless otherwise agreed
• We do not guarantee specific results, impressions, clicks, or conversions
• Actual ad performance depends on market conditions, competition, and platform algorithms

3.5 Reporting

We will provide regular reports on your campaign performance. The frequency and detail of reporting will be agreed upon at the start of your campaign.

3.6 Unused Credits

Any unused ad credits remain valid for 12 months from the date of purchase. After this period, unused credits may expire. Refunds for unused credits are at our sole discretion.

4. Account Registration

To use certain services, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Acceptable Use

You agree not to:

• Use our services for any illegal purpose or in violation of any laws
• Advertise prohibited products or services (as defined by Google and Meta policies)
• Violate the advertising policies of Google or Meta platforms
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems
• Use our services to harm others or engage in fraudulent activities

6. Third-Party Platforms

Our services integrate with third-party platforms including Shopify, Google, and Meta. Your use of these platforms is subject to their respective terms of service and policies:

We are not responsible for the actions, policies, or practices of these third-party platforms.

7. Intellectual Property

All content, features, and functionality of our services, including software, text, graphics, and logos, are owned by Navidiumsoft and protected by intellectual property laws. You may not copy, modify, or distribute our content without written permission.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC RESULTS FROM OUR ADVERTISING SERVICES, INCLUDING BUT NOT LIMITED TO RETURN ON AD SPEND (ROAS), CONVERSION RATES, OR REVENUE INCREASES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIDIUMSOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Navidiumsoft harmless from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to our services at any time for any reason, including violation of these Terms. Upon termination:

• Any active advertising campaigns will be paused
• Unused ad credits may be refunded at our discretion, minus any applicable fees
• Your access to our platforms and services will be revoked

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Singapore.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
